Article I. NAME
The name of this organization is Bulldog Parents and Community for Kids (abbreviated Bulldog PACK).
Article II. PURPOSE
Section II.1 Purpose Statement
The mission of Bulldog PACK is to foster a collaborative and supportive community where families and educators work together to support the overall well-being and educational development, experience, and success of all students in PEM.
Through communication and community engagement, Bulldog PACK aims to:
strengthen the partnership between school and community,
encourage family participation and involvement, and
support a safe and inclusive environment where every child can thrive.
Section II.2 Federal Status
The association is organized exclusively for the charitable, scientific, literary or educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code or corresponding Section of any future Federal tax code (hereinafter “Internal Revenue Code”).
Article III. POLICIES
The following are the policies of Bulldog PACK:
a. The organization shall be noncommercial, nonsectarian, and nonpartisan.
b. The organization or members in their official capacities shall not - directly or indirectly - participate or intervene (in any way, including the publishing or distributing of statements) in any political campaign on behalf of, or in opposition to, any candidate for public office; or devote more than an insubstantial part of its activities to attempt to influence legislation by propaganda or otherwise.
c. Upon the dissolution of this organization, after paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to one or more non-profit funds, foundations, or organizations which have established their tax exempt status under Section 501 (c)(3) of the Internal Revenue Code.
d. No part of the net earnings of the organization shall inure to the benefit, or be distributable to its members, directors, trustees, officers or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article II hereof.
Article IV. MEMBERSHIP
Section IV.1 Eligibility
Membership in the organization shall be open, without discrimination, to anyone who supports the Mission and Purposes of Bulldog PACK as defined in Article II, and who meets at least one of the following requirements:
resides within the PEM district.
has guardianship of one or more children enrolled at a PEM school.
is employed by the PEM district.
Section IV.2 Conflict of Interest
The standard of behavior at the organization is that all voting members scrupulously avoid conflicts of interest between the interests of the organization and personal, professional, or business interests. This includes avoiding potential and actual conflicts of interest, as well as perceptions of conflicts of interest.
Section IV.3 Enrollment
The organization shall conduct an annual enrollment of members but may admit individuals to membership at any time. The membership year shall be August 1 to July 31.
Sevtion IV.4 Voting
Members may be eligible to vote if they are current members, and if they:
have guardianship of one or more children enrolled at a PEM school, or
are employed by the PEM district.
Members must be present at the meeting at which a vote takes place. Members may not vote by proxy.
Article V. EXECUTIVE BOARD
Section V.1 Officers
a. All Officers shall be current members in good standing of this organization.
b. Upon the expiration of their term or in case of resignation, an officer shall turn over to another officer, without delay, all records, books, and other materials pertaining to their office, and shall return to the treasurer, without delay, all receipts and funds pertaining to their office.
c. The roles and duties of Officers are as follows:
Chair
Establishes goals
Creates meeting agendas
Serves as spokesperson
Runs meetings
Secretary
Record accurate meeting minutes
Signs contracts
Maintains membership records and member information
Schedules meetings
Treasurer
Develops and maintains financial reports
Files taxes and returns
Reports on financial health to the membership
Reconciles accounts
Vice-Chair
Subs for Chair when needed
Assists or collaborates with the Chair
Section V.2 Officer terms, nominations, elections
a. The terms of the founding chair and treasurer shall be two years, and the founding vice-chair and secretary shall be one year.
b. Elections for the position of chair and treasurer will take place on odd years. Elections for the position of secretary and vice-chair will take place on even years.
c. Officers serve for two years from the date their service began.
d. Officers shall be elected by ballot, by a simple majority, in the month of May. However, if there is but one nominee for any office, election for that office may be by voice vote. Their terms begin at the June meeting.
e. In order to vote in the annual election of officers, an individual shall have been a member of the organization for at least thirty (30) days.
f. Nominations shall be made for each office no later than 4 weeks before the vote.
g. A vacancy occurring in any office shall be filled for the unexpired term by a person elected by a majority vote, notice of such election having been given.
Article VI. REMOVAL FROM MEMBERSHIP/OFFICE
Section VI.1 Removal from Membership
Any member who no longer meets eligibility requirements per Article IV:Section IV.I will be removed from current member status.
Section VI.2 Removal from Office
a. Any board member who ceases to meet the qualifications of membership as listed in the bylaws or standing rules, or fails to carry out the duties of office may be removed from office by two-thirds vote of the membership
b. Upon removal from office, the outgoing board member shall return all materials associated with the position to one of the officers within 3 business days.
Article VII. LEGISLATIVE PROCESS
The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Bulldog PACK in all cases in which they are applicable and in which they are not in conflict with the by-laws.
Article VIII. MEETINGS
Section VIII.1 Regular Meetings
Regular meetings will be held monthly, except July. The executive board can cancel a monthly meeting with a unanimous decision as long as not for consecutive months. A meeting may be conducted via electronic means.
Section VIII.2 Special Meetings
Special meetings of the organization may be called by the chair or by a majority of the board, 5 days’ notice having been given.
Section VIII.3 Quorum
Five members shall constitute a quorum for the transaction of business in any general or special meeting of this organization. Of the five members, at least three must be an officer.
Article IX. FISCAL YEAR
The Fiscal year of this organization shall begin on July 1 and end on June 30.
Article X. BY-LAW AMENDMENT POLICY
These bylaws may be amended at any regular meeting of the organization by two-thirds vote of the members present and voting, provided that notice of the amendment has been given at the previous regular meeting.
